1. Definitions

"Service" refers to the artificial intelligence consulting services provided by Tessera Mind, including but not limited to Natural Language Processing Solutions, Computer Vision Integration, and Data Strategy Consultation. "User" or "You" refers to any individual or organization accessing our website or engaging our services. "We," "Us," or "Our" refers to Tessera Mind, a company registered in Thailand. "Agreement" refers to these Terms & Conditions along with any service-specific terms agreed upon in writing.

2. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our website or services. You must be at least 18 years of age to use our services or enter into an agreement with us. By engaging our services, you represent that you have the authority to bind the organization on whose behalf you are acting.

3. Service Description

Tessera Mind provides AI consulting services including natural language processing development, computer vision system integration, and data strategy consulting. Services are available to organizations operating in Thailand and the broader Southeast Asian region. Specific deliverables, timelines, and scope are defined in individual service agreements for each engagement.

4. User Responsibilities

You agree to provide accurate and complete information when submitting inquiries or engaging our services. You are responsible for ensuring that any data you provide for processing is lawfully collected and that you have the necessary rights and consents to share it with us. You agree not to use our website or services for any unlawful purpose or in a way that could damage, disable, or impair our systems.

5. Intellectual Property

All content on our website, including text, graphics, logos, and design elements, is the property of Tessera Mind and is protected under Thai intellectual property law. You may not reproduce, distribute, or create derivative works from our website content without prior written permission.

For client engagements, ownership of deliverables is specified in individual service agreements. Generally, upon full payment, clients receive ownership of custom models and related documentation developed specifically for their project. Tessera Mind retains ownership of pre-existing tools, libraries, and methodologies used in the delivery of services.

6. Payment Terms

Service fees are quoted in Thai Baht (฿) and are outlined in individual service agreements. Unless otherwise agreed, payment terms are 50% upon project commencement and 50% upon delivery of final deliverables. Invoices are due within 14 days of issuance. Late payments may incur an interest charge of 1.5% per month on outstanding amounts.

7. Service-Specific Terms

For all consulting engagements, the scope of work is defined in a written proposal or service agreement prior to commencement. Changes to scope require written agreement from both parties and may result in adjustments to timeline and fees. Tessera Mind will use reasonable efforts to meet agreed timelines, but delivery dates are estimates and not binding commitments unless explicitly stated.

Confidentiality obligations apply to both parties. Client data provided for model training or analysis is treated as confidential and handled in accordance with our Privacy Policy and any applicable non-disclosure agreements.

8. Disclaimers

Our services are provided on an "as is" basis. While we apply professional standards and best practices, we do not guarantee specific outcomes, accuracy levels, or business results from the use of AI models or strategies we deliver. AI systems involve inherent uncertainties, and performance may vary based on data quality, operational conditions, and other factors outside our control.

9. Limitation of Liability

To the maximum extent permitted by Thai law, Tessera Mind's total liability for any claims arising from or related to our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold Tessera Mind harmless from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your infringement of any third-party rights, including any claims arising from data you provide to us for processing.

11. Termination

Either party may terminate a service engagement with 14 days written notice. Upon termination, you are responsible for payment of work completed up to the termination date. We will return or destroy client data within 30 days of termination, unless a longer retention period is required by law. Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

12. Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from or in connection with these terms shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, either party may submit the dispute to the Thai Arbitration Institute (TAI) for resolution through binding arbitration conducted in Bangkok, Thailand, in the English language.

13. General Provisions

These Terms & Conditions, together with any service-specific agreements, constitute the entire agreement between you and Tessera Mind regarding the subject matter herein. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force. Our failure to enforce any right or provision shall not constitute a waiver of that right. We may assign our rights under these terms; you may not assign yours without our prior written consent.

14. Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. Changes become effective upon posting on our website. For active service engagements, material changes will be communicated directly. Continued use of our website or services after changes are posted constitutes your acceptance of the updated terms.
